Brand Association Agreement
This Agreement is made and entered into on [Date of Contract] in Siliguri, West Bengal, India.
BETWEEN:
KaamKaaj (hereinafter referred to as "Kaamster"), a platform facilitating career and professional development opportunities, with its principal place of business in Siliguri, West Bengal.
AND:
The brand entity (hereinafter referred to as "Brand") who desires to associate with the Kaamster platform for promotional or other mutually agreed purposes.
WHEREAS:
Kaamster operates an online platform that connects individuals seeking career advancement, educational opportunities, and professional services.
The Brand desires to associate itself with the Kaamster platform to reach its target audience and achieve its marketing or strategic objectives.
NOW, THEREFORE, in consideration of the mutual covenants and agreements hereinafter set forth, the parties agree as follows:
1. Purpose of Association:
The purpose of this Agreement is to outline the terms and conditions under which the Brand will be associated with the Kaamster platform. The specific nature and scope of this association, including but not limited to advertising placements, sponsored content, co-branded initiatives, or other collaborations, shall be as detailed in a separate Schedule to this Agreement (the "Schedule").
2. Brand Responsibilities:
The Brand warrants that all information and materials provided to Kaamster for the purpose of this association are accurate, complete, and not misleading. The Brand agrees to use Kaamster's platform in a professional and ethical manner and will not provide any offensive, discriminatory, or illegal content. The Brand is solely responsible for the content and legality of its own branding and promotional materials. The Brand warrants that it has all necessary rights and permissions to use its trademarks, logos, and other intellectual property in connection with this Agreement.
3. Kaamster Responsibilities:
Kaamster agrees to provide the Brand with the association opportunities as outlined in the Schedule. Kaamster will maintain the integrity and functionality of its platform in a professional manner.
4. No Endorsement of Brand by Kaamster (Unless Explicitly Agreed):
Unless explicitly stated in the Schedule, Kaamster's association with the Brand does not constitute an endorsement by Kaamster of the Brand's products, services, or values. Any explicit endorsement shall be subject to separate written agreements.
5. Fees and Payment Terms:
The fees, payment terms, and schedule for the Brand's association with Kaamster shall be as specified in the Schedule. The Brand agrees to pay the fees as outlined in the Schedule according to the agreed-upon payment schedule and methods.
6. Intellectual Property:
Kaamster retains all intellectual property rights in the platform and its design. The Brand retains all intellectual property rights in its own trademarks, logos, and branding materials. Each party grants the other a non-exclusive, royalty-free license to use the other's name and logo solely for the purpose of fulfilling the terms of this Agreement and the Schedule.
7. Term and Termination:
The term of this Agreement and the specific duration of the Brand's association with Kaamster shall be as specified in the Schedule. Either party may terminate this Agreement or the Schedule in accordance with the termination clauses outlined therein.
8. Limitation of Liability:
Kaamster shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to this Agreement or the Brand's association with the platform. Kaamster's total liability under this Agreement shall not exceed the fees paid by the Brand to Kaamster under the relevant Schedule.
9. Indemnification:
The Brand agrees to indemnify and hold harmless Kaamster, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to the Brand's breach of this Agreement, the content provided by the Brand, or the Brand's activities in connection with its association with Kaamster.
10. Data Privacy:
Kaamster will handle any Brand-related data in accordance with its Privacy Policy. Any collection or sharing of user data with the Brand shall be subject to separate agreement and in compliance with applicable privacy laws.
11. Governing Law and Dispute Resolution:
This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts in Siliguri, West Bengal.
12. Entire Agreement:
This Agreement, together with any attached Schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications and proposals, whether oral or written.
13. Cancellation Policy:
The cancellation policy for the Brand's association will be outlined in the specific Schedule. Unless otherwise specified, any fees paid by the Brand are non-refundable upon cancellation by the Brand. Kaamster reserves the right to terminate this Agreement or the Schedule in case of a breach of terms by the Brand.
